This Terms of Service agreement ("Terms," "Agreement") is a legal document between you ("User," "you," or "your") and Magnate Interactive Ltd ("Magnate," "Company," "we," "us," or "our"). By accessing or using the SnapFlow Pro mobile application and website (collectively, the "Service"), you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not access or use our Service.
1. ACCEPTANCE OF TERMS
By creating an account, downloading, installing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. CHANGES TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of significant changes in the following ways:
- Posting the updated Terms on our website
- Sending an email to the address associated with your account
- Providing a notification within the Service
Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using our Service.
3. USER ACCOUNTS
3.1 Account Registration
To use certain features of our Service, you must create an account. When you register, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account password
- Restricting access to your account
- All activities that occur under your account
You must notify us immediately of any unauthorized access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with this section.
3.3 Account Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
4. USER CONTENT
4.1 Content Ownership
Our Service may allow you to upload, store, and share content, including photos, reports, and other materials ("User Content"). You retain all rights to your User Content, subject to the licenses granted below.
4.2 Content License
By posting User Content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with operating and providing our Service.
4.3 Content Restrictions
You agree not to upload, share, or otherwise provide User Content that:
- Violates any third-party rights, including intellectual property rights
- Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
- Contains software viruses or any other code designed to disrupt, damage, or limit the functioning of any software or hardware
- Is used to impersonate any person or entity
- Constitutes unauthorized advertising, spam, or promotional materials
5. INTELLECTUAL PROPERTY
5.1 Service Ownership
The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Magnate Interactive Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
5.2 License to Use
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes. You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of the software, unless laws prohibit these restrictions or you have our written permission.
6. SUBSCRIPTIONS AND PAYMENTS
6.1 Subscription Services
Certain features of our Service require a paid subscription. By purchasing a subscription, you agree to pay all applicable fees. We reserve the right to change subscription fees upon reasonable notice.
6.2 Billing and Renewal
Payment will be charged to your chosen payment method at the confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period.
6.3 Subscription Management
You can manage and cancel your subscriptions by going to your account settings in the App Store or Google Play Store, depending on your device. Refunds are subject to the policies of the respective app store through which you purchased your subscription.
7. PROHIBITED USES
You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm the Company or users of the Service
- To attempt to circumvent any technological measure implemented by the Company to restrict access to, or use of, the Service
- To use any robot, spider, or other automatic device to access the Service for any purpose
8. DISCLAIMER OF WARRANTIES
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MAGNATE INTERACTIVE LTD EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE MAKE NO WARRANTY THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
- THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS
9. LIMITATION OF LIABILITY
IN NO EVENT SHALL MAGNATE INTERACTIVE LTD, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- ANY CONTENT OBTAINED FROM THE SERVICE
- UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
10. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Magnate Interactive Ltd and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to the Service
- Your violation of any term of these Terms
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right
- Any claim that your User Content caused damage to a third party
11. GOVERNING LAW
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
12. SEVERABILITY
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
13. ENTIRE AGREEMENT
These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.
